Terms and Conditions

For the purposes of these Terms, the following definitions apply: - 'Seller' means hale, an unincorporated trade activity operated by Nicolas Tous Amatller, residing in Palma de Mallorca, Illes Balears, Spain, contactable at help@halepeps.com. - 'Buyer' means any natural or legal person who places an order via halepeps.com and who acts in a research or scientific capacity, not as a consumer. - 'Goods' means the research chemicals, peptides, bacteriostatic water, and related products offered for sale by the Seller. - 'Website' means the e-commerce platform operated by the Seller at the domain halepeps.com. - 'Order' means a binding request submitted by the Buyer to purchase Goods. - 'Contract' means the legally binding agreement formed between the Seller and the Buyer upon the Seller's acceptance of an Order.

These Terms apply to all Orders placed via the Website and to all contractual relationships between the Seller and the Buyer. By placing an Order, the Buyer confirms that they have read, understood, and agree to these Terms in their entirety. The Seller may amend these Terms from time to time. The version of the Terms in effect at the time of placement of an Order shall govern that Order.

The Goods sold by the Seller are research chemicals intended exclusively for scientific research and development purposes, including but not limited to: - In vitro biochemical and pharmacological studies - Laboratory characterization and analytical reference - Academic and independent scientific research - Other lawful, non-therapeutic research applications The Seller expressly notifies the Buyer that the Goods: - Are NOT medicines, medicinal products, or active pharmaceutical ingredients (as defined under Royal Legislative Decree 1/2015 of the Kingdom of Spain or under Directive 2001/83/EC of the European Parliament) - Are NOT medical devices - Are NOT cosmetic products or substances for the production of cosmetic products - Are NOT food, food supplements, or substances for human or animal consumption - Have NOT been evaluated or approved by the European Medicines Agency (EMA), the Spanish Agency for Medicines and Health Products (AEMPS), or any other regulatory authority for human or veterinary therapeutic, diagnostic, cosmetic, or nutritional use Any use of the Goods other than for scientific research and development purposes is prohibited and is the sole responsibility of the Buyer.

By placing an Order, the Buyer represents and warrants that: - The Buyer is acting in a research, scientific, or commercial capacity, and not as a consumer within the meaning of EU Directive 2011/83/EU on Consumer Rights or applicable national consumer protection legislation; - The Buyer is at least 18 years of age and has full legal capacity to enter into binding contracts; - The Buyer is purchasing the Goods solely for the research purposes set forth in Section 03; - The Buyer has the appropriate knowledge, facilities, and intent to handle research chemicals responsibly and lawfully; - The Buyer has verified that the purchase, importation, possession, and use of the Goods is lawful in the Buyer's jurisdiction; - The Buyer accepts that this transaction is a commercial research purchase and not a consumer purchase subject to the standard 14-day right of withdrawal under EU Consumer Rights Directive 2011/83/EU. The Buyer waives any rights they may have as a consumer in connection with the Order.

The presentation of Goods on the Website does not constitute a binding offer by the Seller; it constitutes an invitation to the Buyer to submit an Order. An Order is submitted when the Buyer completes the checkout process on the Website and confirms the Order by clicking the 'Confirm Order' button. The Contract between the Seller and the Buyer is formed upon the Seller's acceptance of the Order, which the Seller confirms by sending an order confirmation email to the Buyer. The Seller reserves the right to refuse or cancel any Order at its sole discretion, including but not limited to cases of: - Suspected illegitimate purpose - Order from a non-permitted geographic territory - Pricing or stock errors - Non-receipt of payment within the specified timeframe

All prices listed on the Website are in Euros (EUR) and are inclusive of any applicable taxes, except where expressly noted otherwise. The Seller accepts the following payment methods: - SEPA bank transfer (Euro Area) - Cryptocurrency payments via NOWPayments (Bitcoin, USDT, USDC, and other supported cryptocurrencies) - Other payment methods as displayed during checkout Payment must be received in full within the timeframe specified at the time of Order. Failure to make payment within the specified timeframe may result in cancellation of the Order at the Seller's discretion. For cryptocurrency payments, the final amount payable in cryptocurrency is calculated at the prevailing exchange rate at the time of payment processing. The Buyer bears any risk of exchange rate fluctuation. Cryptocurrency payments may qualify for a discount of up to 5% on the Order subtotal, as displayed at checkout.

The Seller dispatches Orders to the following geographic territories only: - Member States of the European Union (EU 27) - The United Kingdom - Switzerland - Norway The Seller does not ship to any other territory, and Orders requesting shipment outside of this scope shall be refused. Free shipping is provided on Orders with a subtotal of €150 or more (calculated before any discount). Otherwise, a standard shipping fee of €8 applies, payable by the Buyer at checkout. The Seller dispatches Orders within 1-2 business days of receipt of payment confirmation. Standard delivery timeframes are: - Spain: 1-3 business days - Other EU countries: 2-5 business days - UK, Switzerland, Norway: 3-7 business days Delivery timeframes are estimates and not guaranteed. The Seller is not liable for delays caused by third-party carriers, customs processing, force majeure, or other circumstances beyond the Seller's control. A tracking number will be provided to the Buyer upon dispatch. Risk of loss or damage to the Goods passes to the Buyer upon delivery of the Goods to the carrier. The Seller is not responsible for any loss or damage occurring during transit, except in cases of verified non-delivery covered by the Returns Policy. If delivery fails due to: (a) Incorrect address provided by the Buyer (b) Non-receipt or refusal of the shipment by the Buyer (c) Customs interception or seizure due to non-compliance with the Buyer's local laws The Seller is not obligated to resend the shipment and is not liable for the resulting loss.

The Seller warrants that, at the time of dispatch, the Goods conform to the specifications published on the Website regarding chemical identity and purity, as documented by the manufacturer's Certificate of Analysis. The Seller does not warrant the Goods for any specific purpose, result, or application, and provides no warranty regarding the suitability of the Goods for any therapeutic, diagnostic, cosmetic, or nutritional use. The Seller is not liable for defects arising from: - Mechanical damage to the Goods after delivery - Improper storage by the Buyer - Use of the Goods in conditions inconsistent with research handling standards - Use of the Goods for any purpose other than scientific research and development - Natural forces, force majeure, or third-party action CLAIMS PROCEDURE: To submit a claim for defective Goods, the Buyer must: - Contact the Seller at help@halepeps.com within 48 hours of delivery - Provide the Order reference, a description of the defect, and photographic evidence - Retain the original packaging and the defective product - Not return the Goods without prior written instruction from the Seller The Seller will review claims case-by-case. Verified defective Goods may be eligible for replacement at the Seller's sole discretion.

Due to the nature of research chemicals and the impossibility of verifying product integrity after dispatch, the Seller operates a strict no-returns policy on all shipped Orders. The Buyer expressly acknowledges and waives any right of withdrawal under EU Consumer Rights Directive 2011/83/EU, recognizing that this transaction is a commercial research purchase and not a consumer purchase. Refunds shall be issued only in the following limited circumstances: - The Order is cancelled by the Buyer before dispatch - Verified non-delivery, confirmed by the carrier - Verified defective product, as set forth in Section 08 Refunds for cancelled Orders shall be processed within 5-10 business days to the original payment method. The Buyer bears the cost of any return shipment, except where otherwise expressly agreed by the Seller in writing.

To the maximum extent permitted by applicable law: The Seller's total liability arising from any Order shall not exceed the purchase price paid by the Buyer for the specific Goods giving rise to the claim. The Seller shall not be liable for any indirect, consequential, special, punitive, or incidental damages of any kind. The Seller shall not be liable for any harm, injury, loss, or damage resulting from: - The Buyer's use, misuse, or handling of the Goods, including any use that violates these Terms - Any application of the Goods for human or animal consumption, therapeutic use, diagnostic use, or other non-research purposes - Storage of the Goods by the Buyer in conditions inconsistent with proper research handling - Customs interception, seizure, or delays affecting delivery The Buyer assumes full and exclusive responsibility for all consequences arising from the use of the Goods purchased from the Seller.

The Seller does not provide advice, consultation, or guidance regarding the use, application, dosage, or properties of the Goods, except for the publicly available information on the Website. Any descriptions of research applications on the Website refer exclusively to academic, preclinical, or in vitro literature and do not constitute claims of efficacy or safety, nor any form of medical, veterinary, pharmaceutical, or therapeutic advice. The Buyer is solely responsible for verifying the suitability of the Goods for their intended research application and for ensuring compliance with all applicable legal requirements in their jurisdiction.

All content on the Website, including text, images, graphics, logos, product descriptions, and the 'hale' brand name, is the exclusive property of the Seller and is protected by applicable intellectual property laws. The Buyer is granted a limited, non-exclusive, non-transferable license to view the Website content for purposes of placing Orders. Any other use, reproduction, distribution, or modification of the content without the Seller's prior written consent is prohibited.

The processing of personal data provided by the Buyer in connection with Orders is governed by the Seller's Privacy Policy, available at halepeps.com/privacy. By placing an Order, the Buyer acknowledges and agrees to the Privacy Policy. The Seller processes personal data in accordance with EU Regulation 2016/679 (GDPR) and applicable Spanish data protection legislation.

The Seller shall not be liable for any failure or delay in performance under these Terms resulting from circumstances beyond its reasonable control, including but not limited to: - Natural disasters, acts of God, pandemic, or epidemic - War, terrorism, civil unrest, or government action - Strikes, labor disputes, or supplier failures - Customs delays or interceptions - Internet or technical infrastructure failures - Acts or omissions of carriers or third-party service providers In such cases, the Seller's obligations shall be suspended for the duration of the force majeure event.

These Terms and any disputes arising from them or from Orders placed under them shall be governed by the laws of the Kingdom of Spain, with respect to applicable European Union directives and regulations. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Palma de Mallorca, Spain. The Buyer expressly waives any objection to such jurisdiction on grounds of inconvenient forum or otherwise.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid, illegal, or unenforceable provision shall be replaced by a valid provision that, as closely as possible, achieves the original intent of the parties.

These Terms, together with the Buyer's Declaration, the Privacy Policy, the Returns Policy, and any specific terms agreed in writing between the Seller and the Buyer, constitute the entire agreement between the parties regarding the subject matter hereof. These Terms supersede any prior agreements, representations, or understandings between the parties.
